Background

A. The Partner is an agency that serves its own clients and wants a design agency to create graphic design and social media creatives for them.

B. TDL is a creative design agency and agrees to work for the Partner on a white-label basis, on the terms below.

1. Definitions

End Client: any customer of the Partner for whom TDL creates work under this Agreement.
Services: the design and social media services listed in Schedule A or in an accepted Work Order.
Package: the monthly social media package chosen in Schedule A.
Work Order: a written request (email, WhatsApp or the TDL Client Portal) accepted by TDL for work outside the Package, such as a logo or brochure.
Brief: the written instructions, content, copy, images and brand material the Partner gives for a deliverable.
Deliverable: each finished design, post, carousel, story, reel cover, video or file TDL produces.
Revision: a change to a draft that keeps the same concept, layout and content (for example colour, text, size or image swaps).
Final Files: approved Deliverables exported for use (JPG, PNG, PDF, MP4).
Source Files: the editable working files (AI, PSD, Figma, project files).
Client Portal: TDL's online client login at TDL's website, used for quotations, packages, payments, approvals, files and contracts.
Working Day: Monday to Saturday, excluding national holidays and TDL's notified holidays.

2. Scope of Services

2.1 Social media package. Each month TDL will create the number and type of creatives listed for the chosen Package in Schedule A, for the platforms named there (for example Instagram, Facebook, LinkedIn).

2.2 Other design work. Logos, branding, brochures, packaging, print, website or UI design and any other work outside the Package will be done only under a Work Order, at TDL's fixed price for that work.

2.3 Not included unless written in Schedule A or a Work Order:

posting, scheduling, page management, comment replies or community management;
paid ads setup, ad spend, boosting or performance reporting;
copywriting, captions, hashtags, translation or content research;
photography, video shoots, models, voice-overs, music licences or influencer work;
paid stock images, premium fonts, mock-ups or other third-party assets;
printing, production or delivery of physical material.

2.4 Monthly quota. The Package quota runs from the 1st to the last day of each calendar month. Unused creatives do not carry forward to the next month and are not refunded, unless the shortfall was caused by TDL's delay. Extra creatives beyond the quota are charged at the fixed rates in Schedule B.

2.5 One brand per Package. Each Package covers one brand or End Client. Work for another brand needs a separate Package or Work Order.

2.6 Changes to scope. Any change to the Package (upgrade, downgrade, adding platforms) applies from the next calendar month, after written confirmation by both Parties.
